Terms and Conditions of Service.

These Terms and Conditions (“Terms”) govern your use of our services, programs, workshops, and events. By engaging our services or making a purchase, you agree to be bound by these Terms. If you do not agree, please do not proceed with our offerings.
1. Services Overview
We provide business strategy services, education, events, and digital resources for clients across various industries. Services may include:
Strategy sessions (1:1 and group)
Online programs and workshops
Business events and networking
Templates, toolkits, and digital resources
2. Bookings and Payments
All services require payment as outlined at the time of booking.
A non-refundable deposit or full payment (depending on the offer) is required to secure your place.
Payment must be made via approved payment methods (Stripe, bank transfer, etc.).
If paying by instalment, you agree to fulfill all scheduled payments. Missed payments may result in paused access or additional fees.
You are responsible for ensuring your billing details are current and correct.
3. Cancellations & Refunds
Due to the nature of our work and limited capacity:
Refunds are not offered for change of mind, digital product purchases, or partially used services.
If we cancel or reschedule a session or event, you will be offered a full refund or credit towards a future session.
If you request to transfer a service, such as an event or strategy session, to another individual, this must be approved in writing and may incur an admin fee.
In line with Australian Consumer Law, we will always meet our legal obligations. This includes providing a remedy (refund, replacement, or resupply) only where services fail to meet consumer guarantees—for example, if the service is not delivered with due professional care and skill, or is not reasonably fit for it’s intended purpose.
However, we are not required to provide a refund if:
You simply change your mind
You fail to make contact or engage within the agreed timeframe
You do not use the service
You fail to respond to communication or scheduling requests
4. Rescheduling Policy
Where rescheduling is permitted:
You must give a minimum of 72 hours’ notice for 1:1 sessions or workshops.
Event bookings (e.g., content days or keynote attendance) may not be rescheduled due to set costs and limited spots unless otherwise specified.
Failure to attend without prior notice will result in forfeiture of payment.
5. Use of Digital Products and Content
All digital materials, downloads, templates, and recordings are for personal or internal business use only. You must not:
Resell, distribute, or reproduce content without permission
Share login details or give access to paid content to others
Remove branding or disclaimers from digital products
Violation of this clause may result in revoked access and legal action.
6. Results and Responsibility
We make no guarantees about specific outcomes, results, or business growth. Success depends on individual implementation, external factors, and market conditions. While we provide tools and support, your outcomes are your responsibility.
7. Intellectual Property
All content, branding, program structures, workshop materials, and templates are owned by Kelly Groves and protected by Australian copyright law.
You may not use, copy, or reproduce any material for commercial use without express written permission.
8. Client Conduct & Respect
We maintain a safe, professional environment. Abusive, aggressive, or disrespectful behaviour will result in immediate termination of services without refund.
We reserve the right to refuse service at our discretion.
9. Limitation of Liability
To the fullest extent permitted by law:
We are not liable for any indirect, incidental, or consequential damages arising from your participation in our services or programs.
Our liability is limited to the amount paid for the service in question.
Nothing in these Terms excludes your consumer rights under the Australian Consumer Law.
10. Force Majeure
We are not liable for delays or failure in performance due to causes beyond our control, including natural disasters, technical outages, illness, or government restrictions.
11. Privacy and Third-Party Access
By engaging our services, you acknowledge and agree that we may collect and use personal information in accordance with our Privacy Policy.
To deliver certain aspects of our services, including events, marketing, and client support, we may engage trusted contractors, subcontractors, or team members. These parties may be granted limited access to your personal or business information, strictly for the purpose of fulfilling their duties.
We take reasonable steps to ensure that all third parties are bound by confidentiality and privacy obligations consistent with the Privacy Act 1988 (Cth) and the Australian Privacy Principles.
